3. Eligibility

You must be at least 18 years of age to engage our services or use our Website. Business clients must have the legal authority to enter into a binding agreement on behalf of their business.

5. Intellectual Property

All content on the Sage Systems AI Website — including text, graphics, logos, AI chatbot frameworks, conversational flows, prompt designs, and bot configurations — is owned by Sage Systems AI or its licensors and protected under Australian and international copyright laws.

You may not copy, modify, distribute, or reverse-engineer any Sage Systems AI content without express written consent. AI systems built specifically for a client remain the intellectual property of Sage Systems AI unless otherwise agreed in writing.

6. AI Services & Automation Disclaimer

Our AI-powered tools are designed to assist with client communication, lead management, and booking automation. While we strive for accuracy and reliability, you acknowledge the following:

• AI-generated responses are based on programmed logic and may not always be perfectly accurate.
• We do not guarantee specific outcomes, conversion rates, booking numbers, or revenue results.
• You are responsible for reviewing AI-generated communications before deployment to customers.
• We are not liable for business decisions made based on AI-generated content.
• AI performance may vary depending on the quality of the knowledge base and configuration provided.
• Our AI services are not a substitute for professional legal, medical, financial, or accounting advice.

7. User Responsibilities

By using our Website and services, you agree not to:

• Engage in any unlawful activity or use our services for illegal purposes.
• Upload or distribute harmful content, including viruses or malware.
• Interfere with the functioning of the Website or any AI systems we deploy on your behalf.

You are responsible for:

• Informing your end users that they may be interacting with an AI-powered system.
• Obtaining any necessary consents from your end users as required by applicable privacy legislation.
• Ensuring customer data shared with Sage Systems AI is provided with appropriate authorisation.

9. Payments & Billing

All service fees will be confirmed in writing before work commences. Sage Systems AI is not currently registered for GST; therefore, no GST is charged on invoices at this time.

We reserve the right to suspend or cease work if payment is not received in accordance with agreed terms. Active AI systems may be paused or deactivated in the event of non-payment.

10. Payment Terms — Deposit & Final Payment

Unless otherwise agreed in writing, the following payment schedule applies to all engagements:

• 50% deposit required within 3 business days of invoice issue. Work will not commence until received.
• 50% final payment due upon completion of deliverables and prior to final handover.
• Payment accepted via bank transfer. Details provided on your invoice.
• Late payment fees may apply for invoices outstanding beyond 14 days of the due date.

11. Service Level & Uptime

While we make every effort to ensure AI systems perform reliably, we do not guarantee uninterrupted or error-free operation. Service disruptions may arise from third-party platform outages, scheduled maintenance, or unforeseen technical issues. We will make reasonable efforts to notify clients of planned downtime in advance.

12. Limitation of Liability

To the maximum extent permitted by Australian law, Sage Systems AI is not liable for any indirect, incidental, special, or consequential damages, including but not limited to:

• Loss of data, revenue, or profits
• Missed bookings or lost leads
• Inaccurate AI-generated responses
• Third-party platform outages or failures
• Any other business loss arising from reliance on AI automation

Our total liability shall be limited to the amount you have paid to Sage Systems AI for the specific service in question.

13. Third-Party Integrations

Our services may involve integration with third-party platforms including Facebook Messenger, booking systems, CRM platforms, and payment processors. Sage Systems AI does not control, endorse, or accept responsibility for the practices, availability, or content of these third-party services.

14. Indemnity

You agree to indemnify and hold harmless Sage Systems AI, its owner, employees, agents, and contractors from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of our Website or services, your violation of these Terms, or your infringement of any third-party rights.

15. Termination

Either party may terminate a service engagement by providing reasonable written notice. Sage Systems AI reserves the right to suspend or terminate access immediately in the event of a material breach. Deposit payments are non-refundable once work has commenced, unless otherwise agreed in writing.

16. Governing Law

These Terms are governed by the laws of Tasmania and the Commonwealth of Australia. Any disputes shall be subject to the jurisdiction of the courts of Tasmania, Australia.

17. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and will not affect the validity of the remaining provisions.
